Definitions

  • Client Materials means all information, content, documentation, or assets supplied by the client for use within a project.
  • Services include software development, consulting, team augmentation, and any related services described in an Agreement.
  • Deliverables are all work products, source code, documentation, or materials produced as part of the Services.
  • Final Deliverables are the completed and approved Deliverables provided to the client after fulfillment of contractual obligations.
  • Third-Party Resources include external libraries, frameworks, services, or tools not owned or developed by HireAndroidDevelopers.com.

Services and Engagement

HireAndroidDevelopers.com shall provide Services strictly in accordance with the scope, milestones, and timelines set out in the Agreement. Any work not expressly included in the agreed scope is considered outside the Services.

Proposals and Scope Validity

All proposals issued by HireAndroidDevelopers.com remain valid for thirty (30) calendar days unless stated otherwise. If a proposal is not accepted within this period, we reserve the right to revise pricing, scope, or timelines prior to acceptance.

Fees, Costs, and Expenses

  • Service Fees are defined in the Agreement and are exclusive of applicable taxes unless otherwise stated.
  • Additional Costs may include third-party services such as hosting, paid tools, licenses, or external APIs and are billed separately unless included in writing.
  • Expenses incurred on behalf of the client shall be invoiced at cost when approved in advance.

Payment Terms

  • Invoices are payable within five (5) business days of the invoice date unless otherwise specified.
  • Payment schedules and milestones are defined in the Agreement.
  • Failure to make timely payments may result in suspension of Services until outstanding balances are settled.

Changes to Scope of Work

  • Change Requests must be submitted in writing and include sufficient detail for evaluation.
  • Minor Changes, generally not exceeding twenty percent (20%) of the project value, may be billed at standard hourly rates.
  • Material Changes exceeding this threshold may require a revised Agreement or a new proposal before work continues.

Project Delays

  • Client-Related Delays caused by late approvals, missing information, or delayed materials may result in corresponding extensions to delivery timelines.
  • Company-Related Delays will be communicated promptly with updated expectations.
  • Force Majeure events beyond reasonable control of either party shall not constitute a breach and may result in adjusted schedules.

Review, Testing, and Acceptance

  • Deliverables undergo internal testing prior to submission.
  • The client has seven (7) business days to review and either accept or reject Deliverables in writing.
  • If revisions are required, HireAndroidDevelopers.com shall address them within a reasonable timeframe, followed by a secondary review period.

Client Responsibilities

The client agrees to:

  • ensure that all provided materials are accurate, lawful, and ready for use;
  • obtain all necessary rights and permissions for Client Materials;
  • provide timely feedback, approvals, and decisions;
  • designate a responsible point of contact for the project.

Attribution and Portfolio Rights

HireAndroidDevelopers.com reserves the right to reference completed projects, including non-confidential Deliverables, in portfolios, case studies, and marketing materials unless explicitly restricted by the Agreement.

Confidential Information

Both parties agree to treat any non-public business, technical, or commercial information as confidential and to protect it from unauthorized disclosure. Confidentiality obligations do not apply to information that is publicly available or lawfully obtained from third parties.

Independent Contractor Status

HireAndroidDevelopers.com acts solely as an independent contractor. Nothing in these Terms creates a partnership, employment relationship, joint venture, or agency relationship between the parties.

Limitation of Liability

Services are provided on an “as is” basis. To the maximum extent permitted by law, the total liability of HireAndroidDevelopers.com is limited to the fees paid by the client for the Services giving rise to the claim.

Support and Post-Delivery Services

Any maintenance, support, or modification requested after delivery is provided separately and may be billed at standard rates. Responsibility for Deliverables ends if they are altered by third parties.

Amendments to These Terms

HireAndroidDevelopers.com may revise these Terms from time to time at its sole discretion. Any changes become effective once published on the website, and ongoing use of the site or our services indicates agreement with the revised terms.
